One of the most fundamental aspects of the Companies Act 2006 is Chapter 2 of part 10 that sets out the directors¿ general duties, that start from ss 170-77. The primary aim of this book is to find out and examine whether directors¿ duties are demanding in respect of performance. According to section 170(1) directors owe their general duties to the company, not to its shareholders. In addition, section 172 codified subject test. However, there are limitations that object test was applied as well for example, in the case of Charterbridge Corp Ltd v LIoyds Bank Ltd. According to section 171 that codified the common-law duty to act for proper purpose doctrine, which established in Hogg v Cramphorn Ltd. Additionally, critically analysis of section 174 in respect of whether the test is subjective or objective test or a dual test. Furthermore, section 175 is focused. Moreover, derivative claims and unfair prejudice remedies will be discussed. Finally, it focuses a short summary of winding-up remedy on the just and equitable grounds. This book is useful for company law students, researchers, lawyers and academics especially those who are interested in the area of directors¿ duties.
